Business Name vs Enterprise vs LTD - Which Should You Register in 2026?

'Enterprise' and 'Business Name' are the same thing legally. 'LTD' is completely different. Here's how to choose without regretting it later.

A lot of confusion online - 'enterprise', 'ventures', 'global' are just suffixes attached to a Business Name. Legally, CAC only recognises two main categories for small founders: Business Name and Limited Liability Company (LTD).

Side-by-side

  • Business Name / Enterprise - sole owner or partners, NOT a separate legal entity, personal liability, no shares, can't onboard investors
  • LTD - separate legal entity, limited liability, shares, can take investors, required by most corporates, banks and tenders
  • Price gap - Business Name is cheaper today, LTD is cheaper in the long run (no costly upgrade later)

Pick LTD if

  • You plan to raise money, take investors, or scale beyond ₦25m/year
  • Your customers are corporates, government, or international
  • You want to apply for grants, NEPC, NAFDAC or export licences
  • You want personal-asset protection from business debts/lawsuits

Pick Business Name / Enterprise if

  • You're testing a small local idea or side hustle
  • Annual turnover will stay well under ₦25m
  • You don't intend to sign corporate contracts or take outside investors
