CAC Annual Returns - File Yearly or Get Struck Off

Yes, even if you didn't trade. Skip annual returns and CAC will eventually strike off your company, freeze your bank account and block contracts.

Every entity registered at CAC - Business Name, LTD, NGO, PLC - must file annual returns. Most founders forget. Penalties accumulate per year of default and reactivation gets expensive.

When to file

  • Business Name: once a year, due by 30 June of the following year
  • LTD: at least once every 18 months after the first AGM (typically annually)
  • Incorporated Trustees (NGO): annually, with financial statements

What happens if you skip

  • Penalty fees per year of default (scale annually)
  • Status flagged 'INACTIVE' on the CAC public portal - banks notice
  • Eventual striking off (your company legally ceases to exist)
  • Reactivation requires a fresh application + back-payment + sometimes court orders
